摘  要

全球经济一体化趋势下，中国与它国之间的经济贸易往来日益频繁。然而互联网的迅速发展,为全球电子商务的成长注入了新活力, 电子合同作为一种新的贸易形式, 给传统的法律制度带来了新的挑战。电子合同的订立是通过双方的计算机来达成合同的自动化过程,包括通过网络和通过电子数据等方式。关于电子合同订立各项法律制度的研究是电子商务立法研究的重中之重。合同作为保障签约双方权益的法律手段和依据，在社会经济活动中起着关键的作用。这种趋势也使得对合同翻译的需求量增加。关于在英文合同翻译实践中，译文的质量主要体现在准确和通顺两个方面。因此，本文首先对电子合同进行了概括性的阐述，然后分析了订立电子合同的主体、电子合同中的要约和承诺、电子合同成立的时间、地点等问题。这些问题均体现了电子合同的独特之处,对这些问题的研究和分析将有助于认识和了解电子合同的特殊订立过程,有助于把握电子合同的自身特点。接着阐述了英文电子合同文本的语言特点，其次，指出法律文本在词汇，句子结构和篇章风格的层面上的特点，为原文理解和译文表达带来了一定的难点。最后，从案例分析入手，分别对理解和表达过程中出现的常见错误进行分类和分析，并提出一些应对措施。

Abstract

With the globalization and economic development, the economic and trade exchanges between China and foreign countries have become increasingly frequent. With the rapid development of the Internet injects new vigor into the global E-Commerce, a kind of the business transaction style has brought a new challenge to the traditional legal system. Electronic contract is made up through computer of both sides to accomplish the automated process of the contract, including through the Internet and electronic data, etc. The study of the electronic contract law system is the key point to research the electronic commerce legislation. The contract with a means of safeguarding the rights and interests in both sides, it plays a key role in the social economic activities. This trend has increased to demand for contract translation. In the practice of the English e-contract translation, the translation quality chiefly showing at two aspects: accurate and smooth. Therefore, at first this article has given general description of the electronic contract, and then analyzes the subject of electronic contract, electronic offer and acceptance of the contract, the effective time and effective place of electronic contract. Then it expounds the language features of English electronic contract and points out that the features of legal text in vocabulary and sentence structure has brought certain difficulty for the original understanding and expression. Finally, from the analysis of cases, the article classifies and analyzes about some common errors in the process of understanding and expression, and puts forward some countermeasures.
