Abstract: There are many commercial activities of Chinese enterprises in the international market. In order to ensure the smooth progress of the transaction, international business contracts play an important role in the transaction. International business contracts are the legal basis of establishing the obligations and rights of all the parties as well as resolving the disputes. If one wants to correctly understand and translate the international business contracts, he has to master its language features, which are directly related to all parties’ economic interests. This article aims to help business people master the language features of international business contracts and it can lay the foundation for the correct translation of international business contracts. And the language features will be analyzed from two aspects. One is lexical features. The other is syntactic features.

摘  要：中国企业在国际市场上的商业活动较为频繁。为了确保交易的顺利进行，国际贸易合同发挥着重要的作用。国际贸易合同是确立各方义务和权利以及解决纠纷的法律依据。要想正确理解并翻译国际商务合同，就必须掌握它的语言特征，这直接关系到当事人的经济利益。本文旨在帮助商业人士掌握国际商务合同的语言特征，从词汇及句法两方面分析其语言特征，为其正确翻译国际商务合同奠定基础。

Since the implementation of reform and opening-up policy, China’s foreign trade has developed continuously, especially after China’s accession to the WTO in the 21st century. There are many commercial activities of Chinese enterprises in the international market. At the same time, however, there are economic disputes in international trade. In order to ensure the smooth progress of the transaction, international business contracts play an important role in the transaction. International business contract, as a kind of the legal document, is the agreement that all parties of the contract have the same idea, and is the legal basis of establishing the obligations and rights of all parties as well as resolving the disputes. Whether the international business contract can be correctly understood is of much significance. It is directly related to all parties’ economic interests. Actually, many people cannot well know the international business contract and well master its language features because its language features are of uniqueness, coupling with the cultural differences. Therefore, there are some problems in understanding international business contracts. That how to understand the English contracts is the key factor that will make a great difference to the success of international trade. It may cause serious consequences because of some slight mistakes. In order to correctly understand the English contracts, we have to know and master the language features of international business contracts.
